Terms of Service

1. Acceptance of Terms

By accessing or using ROW Engine ("the Service"), operated by Geldac LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Geldac LLC. By creating an account, you represent that you have read, understood, and agree to be bound by these Terms.

2. Service Description

ROW Engine is a cloud-based software platform designed to help municipal governments, engineering firms, and right-of-way (ROW) professionals manage property acquisition projects. The Service provides tools for:

• Project and parcel management
• Document storage and organization
• Team collaboration and workflow management
• Approval routing and tracking
• Property owner communication tracking
• Reporting and analytics

The Service is provided as a software-as-a-service (SaaS) platform and is accessed via web browser.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Information

When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Organization Accounts

If you create an account on behalf of an organization (such as a government agency or company), you represent that you have the authority to bind that organization to these Terms.

4. Subscription & Billing

4.1 Subscription Tiers

The Service is offered in multiple subscription tiers: Free, Professional, Business, and Enterprise. Each tier includes different features and usage limits as described on our pricing page.

4.2 Free Trial

New accounts may include a free trial period. At the end of the trial, you must select a paid subscription to continue using premium features, or your account will revert to the Free tier.

4.3 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed through our third-party payment provider (Stripe). By subscribing, you authorize us to charge your payment method for all applicable fees.

4.4 Cancellation Policy

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of your current billing period. No prorated refunds are provided for the remaining portion of your billing period.

For annual subscriptions, you commit to the full annual term. Early cancellation will not result in a refund for the remaining months.

4.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days before taking effect and will apply to subsequent billing periods.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any viruses, malware, or other malicious code
• Scrape, harvest, or collect data from the Service using automated means
• Impersonate any person or entity
• Use the Service for any purpose other than legitimate business activities related to right-of-way project management

6. User Content & Data

6.1 Ownership

You retain all rights to the content and data you upload to the Service ("User Content"). This includes project data, documents, parcel information, and any other materials you create or upload.

6.2 License Grant

By uploading User Content, you grant us a limited, non-exclusive license to host, store, display, and transmit your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

6.3 Data Export

You may export your data from the Service at any time using our export features. We recommend maintaining regular backups of your important data.

6.4 Responsibility

You are solely responsible for the accuracy, quality, and legality of your User Content and the means by which you acquired it.

7. Data Retention

7.1 Active Accounts

For active accounts, we retain your User Content for as long as your account remains open and in good standing.

7.2 Account Closure

When you cancel your subscription or close your account, we provide a grace period during which you can export your data. After the grace period, your data will be permanently deleted from our systems.

7.3 Legal Requirements

We may retain certain data as required by law, including for tax, legal compliance, or dispute resolution purposes.

8. Intellectual Property

8.1 Our Property

The Service, including its original content, features, and functionality, is owned by Geldac LLC and is protected by copyright, trademark, and other intellectual property laws. The ROW Engine name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Geldac LLC.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Disclaimers & Limitations

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Professional Advice

The Service is a project management tool only. Nothing in the Service constitutes legal advice, appraisal advice, or professional opinions regarding property values or acquisition strategies. You should consult with qualified professionals for such matters.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GELDAC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

10.1 By You

You may cancel your subscription and close your account at any time through your account settings or by contacting us.

10.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Mecklenburg County, North Carolina.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
